1. Scope of Services
1.1 We provide completely managed hosting services, including configuration, monitoring, optimization, and technical support for hosting environments.
1.2 Our Services rely on independent third-party hosting providers (the "Infrastructure Providers") for compute, storage, network and related infrastructure resources.
1.3 You acknowledge that we do not own or operate the physical or virtual infrastructure. Our role is to manage and facilitate hosting on your behalf.
2. Fees & Billing
2.1 Service charges are based on the costs we incur from Infrastructure Providers plus a management margin applied by us.
2.2 All fees are quoted and billed in Indian Rupees (INR) unless explicitly stated otherwise.
2.3 Prices are exclusive of GST and other applicable taxes. At present GST is not included; we reserve the right to add taxes as required by law and will notify Customers where appropriate.
2.4 Payments are due in advance unless otherwise agreed in writing. Late or failed payments may lead to suspension or termination.
2.5 We may change pricing with reasonable notice for new or renewed subscriptions.
3. Customer Responsibilities
- 3.1 You are responsible for all Content, applications, user data, and material that you host using our Services.
- 3.2 You agree not to use the Services for unlawful activities or to host content that infringes third-party rights, distributes malware, engages in spam or phishing, or violates any applicable law or regulation.
- 3.3 You must keep contact and billing information up-to-date and cooperate with us during support or security investigations.
4. Service Management & Third-Party Providers
4.1 We will manage your hosting environment using Infrastructure Providers we select, unless otherwise contractually agreed.
4.2 We may migrate services between Infrastructure Providers to maintain or improve service delivery; we will endeavor to minimize disruption.
4.3 Infrastructure Provider outages, maintenance, or other issues are considered outside of our direct control. We will liaise with providers on your behalf, but you acknowledge that such incidents may temporarily affect availability.
4.4 Our obligations are limited to the management services described in your order and do not extend to direct liability for third-party infrastructure failures.
5. Support & Availability
5.1 We provide support as described in your service plan. Support channels, response times, and severity levels are set out in the applicable Service Level Agreement (SLA) if provided.
5.2 While we strive for high availability by actively managing resources, we do not guarantee 100% uptime due to third-party dependencies and unforeseen events.
5.3 Submit support requests via the official support portal or support email specified in your account.
6. Data & Backups
6.1 We implement reasonable backup and recovery measures as part of our managed service offering. The scope, frequency, and retention of backups will be defined in your plan.
6.2 You are ultimately responsible for maintaining separate backups of critical data and for validating restore procedures.
6.3 We are not liable for data loss resulting from actions outside of our reasonable control (for example, unauthorised access, provider failures, or software bugs), except to the extent otherwise required by law.
7. Limitation of Liability
7.1 To the maximum extent permitted under applicable law, our total aggregate liability arising from or related to these Terms shall not exceed the total fees actually paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.
7.2 We shall not be liable for indirect, incidental, special or consequential damages (including lost profits, lost business, or loss of data).
7.3 We do not warrant that Services will be error-free, secure from all threats, or uninterrupted.
8. Termination
8.1 You may terminate your subscription by providing at least 14 days written notice as specified in your agreement or plan.
8.2 We may suspend or terminate Services immediately if you: (a) fail to pay fees; (b) materially breach these Terms; or (c) use Services for illegal or abusive activities.
8.3 On termination, access to hosted data may be removed. If you require data export or extended retrieval, you must request it prior to termination; retrieval may incur fees.
9. Modifications
9.1 We may modify these Terms from time to time. Material changes will be communicated to Customers in advance where practicable. Continued use after notice constitutes acceptance of the updated Terms.
10. Governing Law
These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Patna, BR IN.
